01Acceptance of terms

These Terms and Conditions ("Terms") form a binding agreement between you ("Customer", "you") and Chatline ("Chatline", "we", "us", "our") governing your access to and use of the Chatline platform, including any software, dashboard, APIs, and related services that connect to the WhatsApp Business Platform (together, the "Service").

By creating an account, connecting a WhatsApp Business number, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree with any part of these Terms, you must not access or use the Service.

02Definitions

  • "WhatsApp Business Platform" means the messaging infrastructure provided by Meta Platforms, Inc. that Chatline uses to deliver the Service.
  • "Account" means the Chatline account created by a Customer to access the Service.
  • "End User" means an individual who communicates with the Customer's business through WhatsApp.
  • "Message Template" means a pre-approved message format used to initiate conversations outside the standard customer service window, as defined by Meta's policies.
  • "Content" means any text, images, documents, or other material sent, received, or stored through the Service.

03Eligibility & account registration

You must be at least 18 years old and able to form a legally binding contract to use the Service. You must provide accurate, current, and complete information during registration and keep this information up to date.

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. Notify us immediately of any unauthorized use of your Account.

Use of the Service also requires a verified Meta Business Manager account and compliance with Meta's own Business Terms and WhatsApp Business Messaging Policy, which apply in addition to these Terms.

04The service

Chatline provides tools to manage WhatsApp conversations, including a shared inbox, message templates, broadcast campaigns, chatbot automation, and API access. Features available to you depend on your selected plan.

We may modify, add to, or discontinue features of the Service at any time. We will make reasonable efforts to notify Customers of material changes that affect core functionality.

Chatline acts as a technology provider connecting your business to the WhatsApp Business Platform. We are not WhatsApp Inc. or Meta Platforms, Inc., and our Service is subject to the availability and policies of that underlying platform.

05WhatsApp / Meta policy compliance

Your use of the Service is conditioned on compliance with Meta's WhatsApp Business Messaging Policy, WhatsApp Business Solution Terms, and Meta Platform Terms, as updated from time to time. You are solely responsible for ensuring your messaging practices, templates, and opt-in methods comply with these policies.

Meta may independently suspend, restrict, or ban a phone number, display name, or Meta Business Account for policy violations. Chatline has no control over and is not liable for actions taken directly by Meta against your number or account.

06Acceptable use

You agree not to use the Service to:

  • Send unsolicited, deceptive, or unlawful messages, including spam or phishing content.
  • Distribute content that is defamatory, obscene, hateful, or infringes on the rights of others.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Attempt to reverse-engineer, probe, or disrupt the Service's infrastructure or security.
  • Use the Service to message End Users who have not opted in to receive communications from your business.
  • Violate any applicable local, national, or international law, including data protection and telecommunications regulations.

We reserve the right to investigate suspected violations and to suspend or terminate Accounts engaged in prohibited conduct.

07Messaging, templates & opt-in

You are solely responsible for obtaining valid, documented opt-in consent from each End User before sending them messages, including template messages and broadcast campaigns. You must honor opt-out requests promptly.

All Message Templates submitted through the Service are subject to review and approval by Meta. Approval timelines and outcomes are determined by Meta and are outside Chatline's control. Rejected or flagged templates may need to be revised and resubmitted.

08Fees & billing

Access to paid plans is billed in advance on a monthly or annual basis, as selected at checkout. Fees are non-refundable except where required by law or expressly stated otherwise.

In addition to Chatline's subscription fees, Meta charges separate conversation-based fees for messages sent through the WhatsApp Business Platform. These fees are passed through to you and billed according to Meta's then-current pricing.

We may change subscription pricing with at least 30 days' notice before the change takes effect on your next billing cycle.

09Data & privacy

We process personal data, including End User contact details and message content, as described in our Privacy Policy. You represent that you have the necessary rights and consents to share End User data with Chatline for the purpose of providing the Service.

Message content transmitted through the WhatsApp Business Platform is also subject to Meta's data handling practices, which operate independently of Chatline's own data practices.

Where applicable, Customers processing personal data of individuals located in India, the EU, or other regulated jurisdictions remain responsible for their own compliance with local data protection laws, including obtaining lawful consent for marketing communications.

10Intellectual property

Chatline and its licensors retain all rights, title, and interest in and to the Service, including all software, branding, and documentation. These Terms do not grant you any rights to Chatline's trademarks or logos without prior written consent.

You retain ownership of all Content you submit through the Service. You grant Chatline a limited license to process, store, and transmit that Content solely to provide and improve the Service.

11Disclaimers & limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that message delivery through the WhatsApp Business Platform will always succeed.

To the maximum extent permitted by law, Chatline shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim arising out of these Terms shall not exceed the fees paid by you to Chatline in the three months preceding the claim.

12Indemnification

You agree to indemnify and hold Chatline harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of Meta's policies, or your infringement of any third-party rights, including End User consent and privacy claims.

13Suspension & termination

You may cancel your Account at any time from your account settings or by contacting support. We may suspend or terminate your Account, with or without notice, if you violate these Terms, engage in fraudulent or abusive conduct, or if required by Meta or applicable law.

Upon termination, your right to use the Service ends immediately. Provisions relating to fees owed, intellectual property, indemnification, and limitation of liability survive termination.

14Governing law & disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Uttar Pradesh, India, unless otherwise required by mandatory local law.

15Changes to these terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or Meta's policies. We will notify you of material changes by email or through an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
